AOP Mastermind Membership Agreement
Terms of Use
The use of artofprocurement.com, including not limited to mastermind.artofprocurement.com and resources.artofprocurement.com is governed by our Privacy Policy, Terms of Use, and Cookies Policy.
By creating an account (free or paid) and logging on to AOP Mastermind, you become a Member and agree to the following conditions:
General Conditions
Warranty
Art of Procurement represents and warrants that (i) it has the power and authority to enter into this Agreement and to fully perform its respective obligations hereunder; (ii) this Membership Agreement has been executed by its duly authorized representative; and (iii) it is under no contractual or other legal obligation which would interfere in any way with the full, prompt, and complete performance of its obligations pursuant to this Membership Agreement.
Confidentiality & Non-Disclosure
Confidential Information means all non-public, confidential or proprietary information disclosed before, on, or after the Starting Date, by either Art of Procurement, Member, or another Member whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as “confidential,”
Member must:
- protect and safeguard the confidentiality of all such Confidential Information with at least the same degree of care as the Recipient would protect its own Confidential Information, but in no event with less than a commercially reasonable degree of care;
- not use the Confidential Information, or permit it to be accessed or used, for any purpose other than its intended use.
- not disclose Confidential Information to any person or entity, unless legally required to do so, and agreed to in writing by Member and Art of Procurement.
For the avoidance of doubt, any information shared with a Member and any of their employees, by another Member and their employees, is considered Confidential Information.
Limitation of Liability
Except as provided for below, neither party shall be liable to the other party for any special, incidental, indirect, punitive, reliance or consequential damages even if such party has knowledge of the possibility of such damages.
Exceptions: any damages arising out of:
– A breach of the confidentiality and non-disclosure conditions
– A party’s wilful misconduct or gross negligence
– A party’s failure to comply with law.
Where damages are due, Art of Procurement’s liability will be capped at the total amount of Membership Fees received during the current membership period.
For the avoidance of doubt, Art of Procurement is not liable for damages caused by the sharing of Confidential Information between different Members and their employees.
Intellectual Property
Art of Procurement is and shall be, the sole and exclusive owner of all right, title and interest in and to the documents, work product and other materials that are created, made, conceived, and made available to Member by Art of Procurement during their membership period.
Subscription Terms
All subscription fees are paid for in advance of a given billing period.
A Member may cancel their membership subscription at any time. For unpaid subscriptions, accounts will be deactivated within 7 days. For paid subscriptions, accounts will be deactivated following the completion of the current billing period.
Subscriptions will automatically renew unless Member cancels their subscription in the AOP Mastermind Billing Center, or in writing to contact@artofprocurement.com.
A subscription shall be suspended should a Members payment option (e.g. credit card) fail, and will be reactivated once their account has been brought up to date.
